Affiliate Terms – Backroom Marketing International, Inc. By signing up as an affiliate with Backroom Marketing International, Inc. (“BR”), you, the Affiliate, agree to the following terms and conditions as well as the policies at our Company Website:
BR will pay you commissions in U.S. Dollars for converted leads uniquely attributed to you minus any appropriate offsets (canceled sales, bad debt, credit card fraud, over-payments, etc.) according to the policies on our Company Website. BR will make all reasonable effort to accurately track and pay commissions and is not responsible for technical problems, acts of third parties, or other disruptive events.
BR reserves the right to change this Agreement, the price of its products and/or commission percentages for products without notice. Continued participation by Affiliate constitutes acceptance of any and all amendments.
Affiliate is solely an Independent Contractor and no partnership, joint venture or other legal entity is created between BR and Affiliate. Affiliate is solely responsible for actions taken by Affiliate and for the technical operation of Affiliate’s links and other affiliate tools. Affiliate is solely responsible for all expenses made by Affiliate.
Affiliate shall make no claims regarding BR’s products/services beyond those which are made by BR at the Company Website. Affiliate shall not disparage BR, BR’s products or services, or other Affiliates in any manner.
Affiliate agrees to compy with all state and federal spam laws of the United States of America and other appropriate jurisdictions, including but not limited to the Federal CAN-SPAM Act.
This Agreement does not transfer any rights in or to BR’s intellectual property, including but not limited to trademarks, copyrights, patents, trade secrets and the like except for a limited license to use such in a reasonable manner, as determined solely by BR, only for purposes of attracting clients to BR and only so long as this Agreement is in effect.
Affiliate agrees not to advertise BR’s products or services on web sites that promote sexually explicit material, violence, Warez pirated materials, discrimination, illegal activities or other generally morally reprehensible topics.
BR reserves the right to terminate this Agreement at any time for any reason. BR reserves all rights not expressly granted herein.
In the event that any provision of this Agreement is held to be unenforceable or invalid, the provision shall be reformed only to the extent necessary to make it enforceable and the balance of the Agreement shall remain in effect.
This Agreement shall be governed by and construed in accordance to the laws of the State of Utah without regard to conflict of laws rules. Any legal action or dispute resolution arising out of this Agreement shall take place in or about the local area of Denver, Colorado, which shall have the exclusive jurisdiction of resolving any such issues.
Affiliate’s remedies are solely and exclusively limited as described herein and, if applicable, on the Company Web site. BR’s liability, whether based on contract, tort, warranty, strict liability, or other legal claim, shall not exceed the amount of commission paid within the six months prior to the event or events upon which a claim is based. In no event shall BR be liable for any loss of profits, loss of use, or other indirect, incidental, or consequential damages to Affiliate.
